General Terms and Conditions of Sale and Delivery<\/span>
\nAluminium centrum s.r.o.<\/strong><\/span>
\nVersion 2022\/01CZ<\/span><\/p>\n

I. Introductory Provisions<\/strong><\/span>
\n1. The Purchase Agreement (hereinafter referred to as the \u201cCS\u201d) between Aluminium centrum s.r.o.\u00a0<\/span>(hereinafter referred to as the \u201cSeller\u201d) and<\/span>
\nthe Buyer shall be governed by these General Terms and Conditions of Sale and Delivery (hereinafter\u00a0<\/span>referred to as the \u201cGPD\u201d).<\/span>
\n2. The GPD are an integral part of each CS, unless expressly agreed otherwise.<\/span>
\n3. The Buyer is obliged to confirm the draft CS no later than the date of its validity. Otherwise,\u00a0<\/span>the draft shall lapse, unless the Seller confirms delivery even without acceptance.<\/span>
\n4. The confirmation of the CS may be sent electronically or by post.<\/span>
\n5. In the event of a conflict between the CS and the GPD, the provisions of the CS shall prevail.<\/span>
\n6. By concluding the CS, the binding force of previous correspondence regarding its content shall\u00a0<\/span>cease.<\/span><\/p>\n

II. Basic contractual terms<\/strong><\/span>
\n1. The seller undertakes to deliver the goods according to the KS, the buyer undertakes to collect the\u00a0<\/span>goods and pay the purchase\u00a0<\/span>price.<\/span>
\n2. Price information is confidential within the meaning of Section 1730 of the Civil Code.<\/span>
\n3. The seller is not obliged to meet the delivery date if the buyer is in default with payment.<\/span>
\n4. The buyer is obliged to notify changes in identification data within 15 days of their occurrence.<\/span>
\n5. In case of breach of obligations according to the KS or VPDP, the buyer is obliged to pay a\u00a0<\/span>contractual penalty of\u00a0<\/span>30% of the price of the goods in question.<\/span>
\n6. In the event of withdrawal from the KS by the seller, the provisions of Article VI point 3 apply.<\/span><\/p>\n

III. Price and payment terms<\/strong><\/span>
\n1. The price of the goods is set out in the KS.<\/span>
\n2. The buyer is obliged to pay the price according to the agreed payment terms.<\/span>
\n3. In the event of a delay in payment, the buyer is obliged to pay interest on arrears in the amount of\u00a0\u00a0<\/span>0.05% per day\u00a0<\/span>of the amount due.<\/span>
\n4. The seller reserves the right to suspend deliveries in the event of unpaid obligations.<\/span><\/p>\n

IV. Delivery of goods<\/strong><\/span>
\n1. The delivery terms are governed by INCOTERMS 2020, unless otherwise agreed.<\/span>
\n2. The place of delivery is specified in the KS.<\/span>
\n3. The buyer is obliged to take over the goods on the agreed date.<\/span>
\n4. Failure to take over the goods entitles the seller to compensation for damage.<\/span><\/p>\n

V. Transfer of risk and ownership<\/strong><\/span>
\n1. The risk of damage to the goods passes to the buyer at the moment of takeover.<\/span>
\n2. Ownership passes only after full payment of the purchase price.<\/span><\/p>\n

VI. Withdrawal from the contract<\/strong><\/span>
\n1. The seller may withdraw from the KS in the event of a material breach of obligations by the buyer.<\/span>
\n2. Withdrawal must be made in writing.<\/span>
\n3. In the event of withdrawal, the seller is entitled to a contractual penalty according to Art. II, point<\/span><\/p>\n

VII. Complaints and liability<\/strong><\/span>
\n1. The buyer is obliged to inspect the goods without undue delay after receipt.<\/span>
\n2. Obvious defects must be complained about within 5 working days.<\/span>
\n3. Hidden defects must be complained about within 30 days of their discovery.<\/span>
\n4. The complaint must be submitted in writing and supported by relevant documents.<\/span>
\n5. The seller is only liable for defects that existed at the time of delivery.<\/span><\/p>\n

VIII. Final provisions<\/strong><\/span>
\n1. Legal relations are governed by the law of the Czech Republic.<\/span>
\n2. Any disputes will be resolved by the court with substantive and territorial jurisdiction according to\u00a0<\/span>the seller’s registered office.<\/span>
\n3. These VPDP shall enter into force on 1 January 2022.<\/span>
\n4. The Seller reserves the right to amend the VPDP.
